Acceptance of terms
By using the Halo website at haloit.tech or engaging us for services, you agree to these terms. If you do not agree, please do not use the site or our services.
Services
Halo (operated by Halo Web Agency LLC) provides web design, web development, local SEO, and related digital services to small businesses, primarily in Lake County, IL and the surrounding area.
Specific deliverables, timelines, and fees are outlined in a separate project agreement or statement of work agreed upon before work begins. These general terms apply alongside any such agreement.
Payment
Payment terms are specified in your project agreement. Unless otherwise agreed:
- A deposit is required before work begins on new projects.
- Invoices are due within 14 days of issuance unless stated otherwise.
- Halo reserves the right to pause or withhold delivery of work until outstanding balances are resolved.
Intellectual property
Upon receipt of full payment, you own the custom design and content created for your project. Halo retains the right to display completed work in our portfolio and marketing materials unless explicitly agreed otherwise in writing.
Open-source libraries, frameworks, and third-party assets used in your project remain subject to their respective licenses.
Client responsibilities
To ensure projects proceed smoothly, you agree to:
- Provide accurate, timely, and complete information and materials as needed.
- Review and provide feedback within agreed timelines.
- Ensure you have the right to use any content, images, or materials you supply to us.
- Not supply content that is unlawful, defamatory, infringing, or harmful.
Limitation of liability
Halo's liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages — including lost revenue, lost data, or business interruption — even if advised of the possibility.
Disclaimer of warranties
Services are provided "as is". Halo does not guarantee specific search ranking outcomes, ad performance, conversion rates, or business results. We cannot guarantee that third-party platforms (Google, Meta, Vercel, Supabase, etc.) will behave in any particular way.
Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Termination
Either party may terminate an engagement with written notice. Work completed up to termination will be invoiced at the agreed rate. Deposits covering work already performed are non-refundable unless explicitly stated in your project agreement.
Governing law
These terms are governed by the laws of the State of Illinois. Any disputes will be resolved in the courts of Lake County, Illinois, unless otherwise mutually agreed.
Changes to these terms
We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. Continued use of the site after changes constitutes acceptance of the updated terms.
